Terms & Conditions
Last updated: 6 June 2026. These terms govern your use of the nLotus website and any services we provide.
1. Agreement to terms
By accessing nlotus.in or engaging nLotus ("we", "us", "our") for software development, consulting, or related services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our site or services.
2. Services
We provide custom software development and related professional services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written proposal, statement of work, or agreement, which takes precedence over these general terms where they conflict.
3. Proposals & quotes
Proposals are valid for 30 days unless stated otherwise. Estimates are based on the information available at the time and may be revised if requirements change materially.
4. Fees & payment
Fees are as set out in the applicable proposal. Unless otherwise agreed, invoices are payable within 14 days. We may pause work on overdue accounts. Online payments are processed by third-party gateways (such as Razorpay or Stripe); we do not store full card details.
5. Intellectual property
Upon full payment, ownership of custom deliverables created specifically for you transfers to you, except for our pre-existing tools, libraries, and know-how, which we retain and license to you on a non-exclusive basis as needed to use the deliverables.
6. Client responsibilities
You agree to provide timely access to information, accounts, and feedback reasonably required for us to perform the services, and to ensure you have the rights to any materials you supply to us.
7. Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only for the purposes of the engagement.
8. Warranties & liability
We perform services with reasonable skill and care. To the maximum extent permitted by law, our total liability arising from any engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential losses.
9. Termination
Either party may terminate an engagement with written notice as specified in the relevant agreement. You remain responsible for fees for work performed up to termination.
10. Governing law
These terms are governed by the laws of India, and disputes are subject to the courts of Chennai, Tamil Nadu.
